1. Company Information
Territory Insights Ltd (Company No. 16557139) operates as part of the GNB Group. These Terms and Conditions ("Terms") govern your use of the Territory Insights service ("the Service"), a software-as-a-service (SaaS) platform designed specifically for estate agents and property professionals in the UK. By accessing or using the Service, you agree to these Terms in full. 2. Definitions
- "Service": The Territory Insights platform and all associated content, data, tools, features, and functionality.
- "User" or "You": Any individual or entity accessing or using the Service.
- "Content": All materials provided via the Service, including property data, letters, templates, campaign tools, images, software, and documentation.
- "Subscription": The monthly agreement granting access to the Service in exchange for a recurring fee.
- "Credits": Pre-paid units used for services such as direct mail and Land Registry data.
- "Direct Debit": A recurring bank payment method authorised by the User.
3. Description of Services
The Service provides:
- Detailed property and postcode-level insights.
- Tracking of both on-market and off-market opportunities.
- Branded direct mail services (A4 letters and A5 postcards).
- Automated marketing campaigns, including Sold Near You and Custom Campaigns.
- Integration with Land Registry for property data.
4. Account Registration and Security
You must register an account with accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and agree to notify us immediately of any unauthorised access or security breaches.
5. Subscription and Pricing
- The standard monthly subscription fee is £89 + VAT.
- Each subscription covers 5 postcode areas by default; additional postcodes cost £5 + VAT per postcode per week.
- Subscription fees are subject to change, and users will receive at least 30 days' notice before such changes take effect.
6. Payments, Billing, and Direct Debit
- Payments are processed monthly in advance, either via card or Direct Debit.
- Users authorise recurring payments by selecting Direct Debit. An Advance Payment Notification (APN) will be provided at least three working days before the first collection, or in advance of any changes to the payment amount, frequency, or date.
- Users are responsible for ensuring sufficient funds and valid payment details. Failed payments may result in suspension until the account is settled.
- Invoices are accessible via the Billing section of the Service.
Direct Debit Guarantee
- This Guarantee is offered by all banks and building societies that accept instructions to pay Direct Debits.
- If there are any changes to the amount, date, or frequency of your Direct Debit, Territory Insights Ltd will notify you three working days in advance of your account being debited or as otherwise agreed.
- If you request Territory Insights Ltd to collect a payment, confirmation of the amount and date will be given to you at the time of the request.
- If an error is made in the payment of your Direct Debit by Territory Insights Ltd or your bank or building society, you are entitled to a full and immediate refund of the amount paid from your bank or building society.
- If you receive a refund you are not entitled to, you must pay it back when Territory Insights Ltd asks you to.
- You can cancel a Direct Debit at any time by simply contacting your bank or building society. Written confirmation may be required. Please also notify us.
7. Credit System
- Credits are available for purchase in bundles.
- Credit usage rates: A4 letters and A5 postcards = 1 credit (£0.50 each); Land Registry deeds = 14 credits (£7.00).
- Promotional credits are non-refundable. Purchased credits are refundable upon request and never expire.
- Credit balances can be viewed on the dashboard or via the Billing section.
8. Service Availability and SLA
We aim to provide at least 99% platform uptime. Planned maintenance will be communicated with at least 24 hours' notice. We are not liable for disruptions caused by third-party service providers.
9. Acceptable Use Policy
Users agree not to:
- Use the Service unlawfully or to infringe upon others' rights.
- Engage in activities that could damage the reputation of Territory Insights or other users.
- Attempt to extract or misuse proprietary data from the Service.
10. Confidentiality
You acknowledge that the Service, including software, data, and documentation, is proprietary information. You agree to take reasonable measures to prevent unauthorised disclosure or misuse of such confidential information.
11. Intellectual Property
All intellectual property rights related to the Service remain the property of Territory Insights Ltd. Users may not copy, sell, redistribute, or exploit any part of the Service without explicit permission.
12. Data Privacy, Security, and Ownership
We comply with GDPR and other relevant UK data protection legislation. User data is encrypted, and our handling practices are detailed in our Privacy Policy. Users retain ownership of their submitted data and may request retrieval upon account termination.
13. Cancellation and Termination
- Users may cancel subscriptions by providing at least 24 hours' notice before renewal via phone (02045 380 809) or email (hello@territoryinsights.co.uk).
- No refunds are available for partial usage periods post-cancellation.
- We reserve the right to suspend or terminate access for violations of these Terms, misuse, or non-payment.
14. Indemnification
You agree to indemnify and hold harmless Territory Insights Ltd, its affiliates, and their representatives from any claims, liabilities, losses, and costs arising from your breach of these Terms or improper use of the Service.
15. Limitation of Liability
Territory Insights Ltd will not be liable for indirect, consequential, incidental, or special damages, including loss of data, profits, or business opportunities arising from your use or inability to use the Service.
16. Disclaimers
The Service is provided "as is" and "as available" without any guarantees of uninterrupted, error-free service or fitness for specific business purposes. We disclaim all implied warranties to the fullest extent permitted by law.
17. Third-party Services
We are not responsible for third-party websites or services linked to the Service. Users access third-party services at their own risk.
18. Amendments to Terms
We reserve the right to amend these Terms with 30 days' prior notice. Continued use after changes constitutes acceptance of updated Terms. Changes will be communicated clearly via email.
19. Governing Law and Jurisdiction
These Terms and your use of the Service are governed exclusively by the laws of England and Wales.
